1. Brand Integrity and Reputation The Dealer shall maintain the highest professional standards and show full respect for the Musiclily brand. Any conduct that disparages, damages, or devalues the brand's reputation, whether online or offline, is strictly prohibited.

Musiclily reserves the final right of interpretation regarding all brand-related activities.
2. Supply & Re-Branding (Private Label) Musiclily acts as the official supplier for the Authorized Party.

The Authorized Party is granted explicit permission to re-package Musiclily products.

The Authorized Party may market and sell these products under their own private brand(s), provided they maintain the quality standards set by the supplier.
3. Anti-Counterfeiting and Authenticity The Dealer strictly agrees not to purchase, sell, or distribute any counterfeit, pirated, or unauthorized imitations of Musiclily products.

All products must be sourced directly from Musiclily official channels.

Discovery of any counterfeit involvement will result in the permanent cancellation of the authorization and potential legal pursuit.
4. Authorized Channel Compliance The Dealer acknowledges that sales on any Amazon marketplaces (Global) are strictly prohibited unless otherwise specified in writing.
5. Termination of Authorization Musiclily reserves the right to revoke the Dealer’s authorization at any time, without prior notice, if any of the above terms are breached. Upon revocation, the Dealer must immediately cease all use of the Musiclily brand name and assets.
